France and Germany lock in 50-50 control of KNDS ahead of July IPO valued up to about $19.4 billion

France and Germany agreed Monday, June 22, 2026, to an equal-power governance deal for KNDS—the Franco-German maker of the Caesar artillery system and Leopard tanks—clearing a key political hurdle for a stock market debut targeted for July.

The agreement lands at a tense moment for Europe’s defense industry. In a joint statement released by the Élysée Palace on June 22, the two governments said the deal is designed to protect their interests both “as shareholders and as sovereign states.” KNDS is headquartered in Amsterdam.

The move comes just two weeks after the official collapse of the SCAF program, the Franco-German project for a next-generation fighter aircraft that was derailed by industrial rivalry. Against that backdrop, the KNDS deal reads as an effort by Paris and Berlin to show their bilateral defense cooperation can still work.

A 50-50 balance meant to last

KNDS is currently owned equally by the French state—through Giat Industries—and Germany’s Bode-Wegmann family, each holding 50%. The governance talks were triggered by the Bode-Wegmann family’s intention to sell all or part of its stake, forcing both governments to find an alternative structure.

The solution: prepare an initial public offering while keeping a Franco-German parity in the company’s capital and governance. According to the report, Berlin ultimately aims for a 40% stake, but the agreement sets equal governance rights and provides for “appropriate oversight of security issues”—language that points to strategic veto powers meant to protect each country’s sovereign interests.

“By setting this Franco-German framework, the two states are taking a decisive step to strengthen their shared sovereignty in land defense,” the two governments said in their joint statement.

French President Emmanuel Macron praised the deal in a post on X: “With Germany, we are today taking a major act of sovereignty for our defense. By strengthening KNDS together, we give our armies the means to defend themselves, to produce and to innovate by themselves. A sovereign Europe that protects and chooses its destiny!”

Dual listing planned in Paris and Frankfurt, with a valuation of €15–€18 billion

KNDS’ IPO is now targeted for July 2026, with a dual listing in Paris and Frankfurt. Bloomberg estimates the group’s valuation at between €15 billion and €18 billion (about $16.2 billion to $19.4 billion), which would make it one of Europe’s biggest IPOs in recent years.

One major hurdle remains: Germany’s parliamentary budget committee is set to weigh in Wednesday on the group’s evolution. Its approval directly conditions the IPO timeline—without a green light from the German parliament, the July listing cannot be confirmed.

German government spokesperson Stefan Kornelius declined to disclose how much Berlin would pay for its entry ticket, leaving the precise figure unclear for now.

Keeping Rheinmetall out

Behind the financial engineering is a strategic objective that Paris has not tried to hide: shielding KNDS from the ambitions of Rheinmetall, Germany’s land-arms heavyweight that French industrial and political figures have described as an “uncontrollable competitor.”

Rheinmetall CEO Armin Papperger had tried to insert himself into the shareholder lineup during IPO preparations, according to the report. The Franco-German parity agreement on governance effectively blocks that scenario.

KNDS CEO Jean-Paul Alary welcomed the deal as one “that strengthens KNDS’ vision of reinforcing its position as a pan-European leader in land defense, firmly anchored in both countries.”

The MGCS “future tank” program in the background

KNDS is not only known for the Caesar artillery system—deployed heavily in Ukraine—or for the Leopard tank. The group is also working on MGCS, the Main Ground Combat System, the Franco-German “tank of the future” intended to replace France’s Leclerc and Germany’s Leopard 2.

That program gives the governance agreement added political weight: without guaranteed shareholder stability, MGCS risked losing its main industrial anchor.

Created in 2015 through the merger of France’s Nexter Systems and Germany’s Krauss-Maffei Wegmann, KNDS has until now had a relatively simple ownership structure. The planned IPO marks a major shift, as the group seeks to raise funds to invest and win export markets amid Europe’s accelerated rearmament.

Eurosatory 2026 as the backdrop

The announcement was timed to a symbolic setting: the Eurosatory defense show, held since June 15 at the Paris-Nord Villepinte exhibition center. There, KNDS unveiled the “Capint” (short for Capacité Intermédiaire), a tank built on a chassis derived from Germany’s Leopard 2 A8 and paired with a French remotely operated Ascalon turret.

The prototype embodies what the agreement is meant to preserve: Franco-German integration that produces systems neither Paris nor Berlin could design alone at the same pace.

Wednesday’s vote in Germany will determine whether the political sequence closes smoothly. For now, a July listing remains the official timetable.
